Two prominent Nepali companies, Orchid Holdings Limited and Mountain Glory Limited, have formally completed their merger process, marking a significant consolidation in the corporate sector. Following regulatory approval and shareholders’ decisions, the merged entity will operate under the new unified name “Orchid Glory Limited”, both in Nepali and English. The integrated company will officially commence unified operations from Friday, May 1, 2026 (corresponding to Baishakh 18, 2083 BS).
Regulatory Approval and Shareholder Decisions
Orchid Holdings Limited, registered under Company Registration No. 293565 with its registered office in Ward No. 14 of Kathmandu Metropolitan City, and Mountain Glory Limited, registered under Company Registration No. 310938 with its head office in the same municipal area, had earlier approved the merger through separate special general meetings held on 2082/11/12 and 2082/11/13 respectively. The merger received final approval from the Office of the Company Registrar Nepal on 2082/12/19, formally authorizing the unification process and the transfer of assets, liabilities, and obligations.
Full Transfer of Assets and Liabilities
As per the merger agreement, all assets, liabilities, debts, and financial obligations of Orchid Holdings Limited will be assumed by Mountain Glory Limited, which will subsequently operate under the renamed structure.
Similarly, all movable and immovable assets, along with tax liabilities and financial obligations of Mountain Glory Limited, will also be fully integrated into the new company structure under Orchid Glory Limited. This comprehensive consolidation ensures that the new entity assumes full responsibility for all financial and operational commitments of both companies.
Unified Corporate Identity and Office Location
Post-merger, the company will officially operate under the name Orchid Glory Limited, with its registered office located in Ward No. 14, Kathmandu Metropolitan City, Bagmati Province. The restructured entity is expected to function as a single integrated organization, streamlining operations and improving corporate efficiency under a unified management system.
Commencement of Integrated Operations
The company has confirmed that unified business operations will begin on May 1, 2026, marking the formal operational launch of Orchid Glory Limited. From this date onward, all business activities, financial transactions, and corporate functions will be conducted under the new organizational identity.
