Chandragiri Hills Limited Calls 16th AGM, Proposes 5.2632% Dividend

Chandragiri Hills Limited (CGH) has announced its 16th Annual General Meeting (AGM) to be held on 23rd Poush, 2082, at the company’s premises in Thankot, Kathmandu. The meeting is scheduled to commence at 11:00 AM and will deliberate on several important financial, governance, and capital restructuring agendas.

Key Financial Agendas on the Table

One of the major agendas of the AGM is the endorsement of the company’s financial statements for the fiscal year 2081/82. Shareholders will review and approve the auditor’s report along with the profit and loss account, balance sheet, and cash flow statement for the period.

In addition, the AGM will appoint an external auditor for the fiscal year 2082/83 and determine the auditor’s remuneration, in accordance with the provisions of the Companies Act, 2063.

Dividend Proposal: Bonus Shares and Cash Dividend

A key highlight of the upcoming AGM is the proposal to distribute dividends to shareholders. The Board of Directors has proposed issuing 5 percent bonus shares based on the company’s paid-up capital. The dividend distribution, however, will be effective only after it is approved by the AGM, as per regulatory requirements.

For the 16th AGM, the company has fixed Poush 11, 2082, as the book closure date. Shareholders whose names are registered in the company’s share register maintained by GIM Capital Limited, Naxal, Kathmandu, before the book closure date will be eligible to attend the AGM, participate in discussions, and exercise voting rights.

Shareholders may attend the meeting either in person or through a duly appointed proxy, subject to prevailing regulations. Necessary identification documents, including share ownership proof or a DEMAT account statement, must be presented to gain entry into the meeting venue.
