Today is the final day for shareholders to secure the dividend proposed by Kalinchowk Darshan Limited (KDL) for the fiscal year 2082/83. The company has called its 12th Annual General Meeting (AGM) for Ashwin 16, 2083, where the proposed dividend will be presented for approval.

AGM Scheduled for Ashwin 16
The 12th AGM of Kalinchowk Darshan Limited (KDL) will be held at German Homes Hotel, Gatthaghar, Bhaktapur, starting at 11:30 AM on Ashwin 16. The AGM will consider several key agendas, including the endorsement of the company’s financial statements, appointment of the auditor and approval of the proposed dividend for FY 2082/83.
8.9474% Dividend Proposed
The Kalinchowk Darshan Limited (KDL)’s Board of Directors meeting held on Bhadra 24, 2083 proposed a total dividend of 8.9474% for the fiscal year 2082/83. Of the proposed dividend, 8.5% has been proposed as bonus shares, amounting to approximately Rs. 5.35 crore. In addition, the company has proposed a 0.4474% cash dividend, amounting to approximately Rs. 28.18 lakh, for tax purposes. The proposed dividend is based on the company’s existing paid-up capital of Rs. 63 crore and remains subject to approval by the AGM and other applicable regulatory requirements.

Rights Shares Planned After Bonus Issue
Alongside the dividend proposal, the Kalinchowk Darshan Limited (KDL) has also announced plans to issue 100% rights shares in a 1:1 ratio after completing the distribution of the proposed bonus shares. Under the proposed 1:1 rights issue, eligible shareholders would be offered one additional right share for every one share held, subject to the necessary approvals and completion of the bonus share distribution process.
Financial Statements and Auditor Appointment on Agenda
The AGM will also consider the endorsement of the auditor’s report, along with the profit and loss statement, financial statements and cash flow statement for FY 2082/83. Another agenda item involves the appointment of an auditor for FY 2083/84 and determination of the auditor’s remuneration. The meeting will also consider the approval of the appointment of the company’s Board of Directors.

Book Closure Date Set for Ashwin 9
Kalinchowk Darshan has fixed Ashwin 9, 2083 as the book closure date for the AGM and dividend entitlement. Accordingly, shareholders who hold shares of the company before the book closure date will be eligible to receive the proposed dividend, subject to its approval by the AGM. Such shareholders will also be eligible to participate in the 12th AGM. Therefore, today is the final trading day to be recorded as a shareholder before the book closure date of Ashwin 9 for entitlement to the proposed dividend and participation in the AGM.
