Soaltee Hotel Limited (SHL), one of Nepal’s leading hospitality companies, has successfully concluded its 51st Annual General Meeting (AGM). The meeting was held on 14 December 2025 (corresponding to Mangsir 28, 2082 BS) at the Tribhuvan Army Officers’ Assembly Hall, Tudikhel, Kathmandu, starting at 10:00 AM. The AGM was conducted in accordance with prevailing laws and the company’s articles of association, with active participation from shareholders.
The meeting unanimously passed several important resolutions related to financial approval, dividend distribution, appointment of auditors, and formation of a new board of directors, marking a significant milestone in the company’s corporate governance journey.

Approval of Annual Report and Financial Statements
The 51st AGM approved the annual report of the company for the fiscal year 2081/82. Shareholders endorsed the consolidated annual financial statements of Soaltee Hotel Limited and its subsidiary companies, including the balance sheet as of Ashad end 2082, along with the profit and loss account, statement of comprehensive income, cash flow statement, statement of changes in equity, and accompanying notes.
The auditor’s report presented during the meeting was also discussed and unanimously approved. The approval of these financial statements reflects shareholders’ confidence in the company’s financial transparency, operational performance, and compliance with regulatory standards.
Dividend Declaration for Fiscal Year 2081/82
One of the major highlights of the AGM was the approval of a dividend distribution for the fiscal year 2081/82. As proposed by the board of directors, shareholders unanimously endorsed the distribution of cash dividend based on the company’s paid-up capital.

Appointment of Auditor for the Upcoming Fiscal Year
The AGM also approved the appointment of M/s K. B. Rajbhandari & Associates, Chartered Accountants, Kathmandu, as the statutory auditor and tax auditor of the company for the fiscal year 2082/83. The meeting further authorized the board to determine the auditor’s remuneration.

Formation of a New Board of Directors
A new board of directors was formed following elections held during the AGM. From among the institutional shareholders, three directors were elected through a secret ballot conducted at the meeting venue. Additionally, one independent director was appointed by the AGM, completing the formation of the new board.
Representing institutional shareholders, the newly appointed directors include Mr. Dineshpur Bisht, Mr. Ravi Bhakta Shrestha, and Mr. Ramesh Kaji Shrestha from the institutional shareholder entity. Likewise, Mr. Amrit Man Shrestha was appointed as a director representing Nepal Airlines Corporation.
From among the general public shareholders, an election was held between candidates, and based on the highest number of votes received, Mr. Prakash Bikram Khatri, Mr. Sashiraj Pandey, and Mr. Niranjan Kumar Devkota were elected to represent public shareholders on the board. Furthermore, the AGM appointed Dr. Madhav Giri as an independent director, strengthening professional and independent oversight within the board.
Approval of Bonus Share Distribution and Capital Increase
In addition to the cash dividend, the AGM also passed a special resolution approving the distribution of bonus shares at the rate of 15 percent. The meeting further approved the corresponding increase in the company’s paid-up capital following the issuance of bonus shares.
The bonus share distribution is expected to enhance shareholder value while reinforcing the company’s capital base, enabling it to pursue future growth opportunities in Nepal’s competitive hospitality and tourism sector.

Availability of Annual Report in Digital Format
The company informed shareholders that the approved annual report, including the board of directors’ report, auditor’s report, and detailed financial statements for the fiscal year ending Ashad 2082, has been uploaded in electronic form on the company’s official website.
