Hotel Sarathi Limited, Dhulikhel-8, Kavrepalanchok, has announced that its Second Annual General Meeting (AGM) will be held on September 20, 2026 (Ashwin 4, 2083) at 12:00 PM at the company’s assembly hall in Dhulikhel-8, Resort Marg. The decision to convene the AGM was taken by the company’s Board of Directors at its 28th meeting held on August 16, 2026 (Shrawan 31, 2083). The AGM will discuss and decide on various financial and corporate matters, including the company’s annual financial statements for fiscal year 2082/83.

13% Bonus Shares and 2.7894% Cash Dividend Proposed by Hotel Sarathi Limited
Among the key proposals, the AGM will consider the Board’s proposal to distribute 13% bonus shares from the distributable profit of fiscal year 2082/83 based on the company’s paid-up capital. The meeting will also consider a 2.7894% cash dividend on the paid-up capital, intended for tax purposes related to the bonus shares.
Financial Statements and Auditor Appointment in Hotel Sarathi
Under the general agenda, shareholders will discuss and approve the company’s annual financial report for FY 2082/83, along with the cash flow statement and other financial statements for the same period.

The AGM will also appoint an auditor for fiscal year 2083/84 in accordance with Section 111 of the Companies Act, 2063, and determine the auditor’s remuneration.
Capital Structure and Share Issuance on Agenda
The AGM will also consider a proposal to change the company’s capital structure. Shareholders will be asked to approve amendments to Clause 6(b) and 6(c) of the company’s Memorandum and Articles of Association. In addition, the company has proposed continuing with its plan to issue 30% of its issued capital as ordinary shares.

Shareholder Attendance and Proxy Provision
The shareholder attendance register of the hotel will open from 11:00 AM on the day of the AGM. Shareholders whose names are included in the company’s shareholder register can participate in the meeting personally. Those unable to attend may appoint another shareholder as their proxy. Proxy appointment letters must be registered at the company’s registered office at least 24 hours before the AGM. Institutional shareholders are required to send an authorized representative with the necessary authorization letter. The company has requested shareholders to participate in the AGM and take part in discussions and decisions on the proposed financial, dividend, capital structure, and other corporate matters.
